Terms of Service
Effective date: September 1, 2026
These Terms of Service ("Terms") govern your purchase and use of website design, website hosting, maintenance, domain-management, and related services provided by Goose Office LLC ("Goose Office," "we," "us," or "our"). By purchasing a Goose Office service, accepting these Terms electronically, submitting an order, or continuing to use a Goose Office-hosted website or service, you agree to these Terms. If you are purchasing services on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
1. Our Services
Goose Office provides website design, development, hosting, maintenance, content updates, domain-management assistance, and related digital services. Specific services included with your purchase are determined by the package, order, proposal, checkout page, or other written description provided to you at the time of purchase.
Goose Office reserves the right to improve, modify, replace, or discontinue individual features or technologies used to provide the services, provided that such changes do not materially eliminate the core service purchased by the client.
2. Website Packages
Goose Office currently offers three primary website packages:
Starter. The Starter package provides a website together with Goose Office hosting and related services. Ownership of the client-specific website deliverables transfers to the client after six consecutive paid monthly billing cycles, provided that the client's account is current and no amounts are outstanding.
Business. Ownership of the client-specific website deliverables included in the Business package transfers to the client upon payment and delivery of the applicable website.
Premium. Ownership of the client-specific website deliverables included in the Premium package transfers to the client upon payment and delivery of the applicable website.
3. Early Ownership Purchase — Starter
A Starter customer may elect to obtain ownership of the client-specific website deliverables before completing the six-month ownership period by purchasing an Early Ownership Purchase for $99. The $99 Early Ownership Purchase is separate from and does not replace any outstanding hosting, subscription, development, or other fees.
Upon completion of the Early Ownership Purchase and provided the client's account is current, Goose Office will transfer the applicable client-specific website deliverables to the client.
The Early Ownership Purchase does not transfer:
- Goose Office's hosting infrastructure;
- Goose Office servers;
- proprietary deployment systems;
- internal software or tools;
- reusable templates;
- reusable components;
- proprietary libraries;
- development workflows;
- AI systems or workflows;
- internal prompts;
- Goose Office trademarks or branding;
- third-party software;
- third-party licenses;
- stock assets subject to third-party licenses;
- domain names unless separately transferred under the domain provisions of these Terms; or
- intellectual property owned by Goose Office independently of the client's website.
The client receives ownership only of the applicable website deliverables created specifically for the client and included within the purchased service.
4. Website Ownership and Intellectual Property
Unless otherwise expressly stated in writing, Goose Office retains ownership of its pre-existing intellectual property, infrastructure, systems, tools, templates, frameworks, processes, reusable components, software, know-how, and other materials used to provide the services.
Where ownership of a website transfers to a client under these Terms, the transfer applies to the client-specific website deliverables created for that client. Ownership does not include third-party materials that Goose Office does not own. Third-party software, fonts, plugins, stock photography, icons, APIs, libraries, hosting technologies, and other third-party materials remain subject to their respective licenses and terms.
Goose Office may continue using generalized knowledge, techniques, concepts, coding patterns, processes, and reusable non-client-specific components developed or learned while providing services.
5. Client Content
The client retains ownership of content, trademarks, logos, photographs, text, videos, and other materials supplied by the client. The client grants Goose Office a limited license to use, reproduce, modify, display, and distribute client-provided materials solely as reasonably necessary to provide the services.
The client represents that it has the necessary rights and permissions to provide such materials to Goose Office. The client is responsible for claims arising from content that it provides to Goose Office.
6. Website Approval
The client is responsible for reviewing and approving the website before launch. Once the client approves the website or instructs Goose Office to publish it, the website will be considered accepted.
The client should carefully review: spelling; contact information; pricing; business information; links; legal notices; images; services; addresses; phone numbers; third-party integrations; and other information appearing on the website.
Goose Office is not responsible for errors in information supplied or approved by the client.
7. Hosting
Website hosting is provided as a recurring service. Unless otherwise specified, hosting includes the infrastructure reasonably necessary to make the website publicly accessible. Hosting does not constitute a sale or transfer of Goose Office's server infrastructure.
Goose Office may perform maintenance, upgrades, migrations, security updates, infrastructure changes, or other technical work necessary to operate the hosting environment. Goose Office does not guarantee uninterrupted availability.
8. Billing Cycles
A monthly subscription begins when the applicable subscription payment is successfully received and continues for approximately one month. The subscription automatically renews at the beginning of each subsequent billing cycle unless canceled in accordance with these Terms.
The exact recurring price applicable to the client's subscription will be disclosed at checkout or in the applicable order documentation.
9. Automatic Renewal
YOUR SUBSCRIPTION AUTOMATICALLY RENEWS UNTIL CANCELED.
By purchasing a recurring Goose Office subscription, you authorize Goose Office or its payment processor to charge the applicable payment method for each renewal period. Monthly subscriptions renew monthly. Annual subscriptions renew annually unless canceled before the next annual billing date.
Before purchasing a recurring service, the client will be provided with the applicable recurring price, billing period, and cancellation terms. Goose Office may send renewal or billing communications to the email address associated with the client's account. If pricing changes for a future renewal, Goose Office may provide notice of the applicable change before the new price becomes effective.
10. Cancellation
Clients may cancel their subscription by contacting Goose Office through the designated cancellation method. To prevent the next recurring charge, cancellation must be received before the beginning of the next billing cycle.
Cancellation takes effect at the end of the then-current paid billing period unless otherwise agreed in writing. Canceling a subscription does not automatically cancel amounts already owed to Goose Office.
11. No Refunds for Monthly Services
Monthly subscription payments are generally non-refundable. If a client cancels after a monthly billing cycle has begun, the client remains responsible for that billing cycle and will continue to have access to the applicable service through the end of the paid period, subject to these Terms.
12. Annual Plans and Early Cancellation
Annual plans may be offered at a discounted rate compared with the standard month-to-month price. The annual discount is conditioned upon the client's continued use of the annual service for the applicable annual term.
If a client cancels an annual plan before the end of the annual term, Goose Office may recalculate the cost of the service actually used based on the applicable standard monthly rate, rather than the discounted annual-equivalent rate. Any remaining prepaid amount after that adjustment may be refunded.
Example. If the annual hosting payment is $360; the standard monthly rate is $39; and the client cancels after two months, the refund calculation would be $360 − ($39 × 2) = $282, rather than $360 − ($30 × 2) = $300. If the standard monthly-rate calculation equals or exceeds the amount prepaid, no refund will be due.
The initial website design, development, setup, or other non-recurring fees are non-refundable once work has commenced or the applicable deliverables have been provided, except where Goose Office expressly agrees otherwise in writing or applicable law requires otherwise.
13. Failed Payments and Late Payments
If a scheduled payment fails, Goose Office may notify the client and provide a 14-calendar-day cure period. The client may restore the account by successfully paying all amounts due.
If payment remains unpaid after the applicable cure period, Goose Office may suspend the website, hosting service, or other services. Continued nonpayment may result in termination of the service. Goose Office may also charge reasonable payment-processing, collection, or other fees to the extent permitted by applicable law.
A declined card, expired card, insufficient funds, payment reversal, or failure to update payment information is treated as a failure to make the required payment.
14. Website Suspension
If an account becomes delinquent, Goose Office may suspend the website and related services after providing the applicable notice and cure opportunity. During suspension, Goose Office may display a suspension page, disable website access, or otherwise restrict public access to the website.
Suspension does not eliminate the client's obligation to pay amounts already owed. Goose Office may restore service after receiving all amounts necessary to bring the account current.
15. Termination
Goose Office may terminate services when:
- the client fails to pay amounts due;
- the client materially violates these Terms;
- the client uses the services for unlawful purposes;
- the client engages in abuse, fraud, harassment, malicious activity, or conduct that threatens Goose Office or its infrastructure;
- the client introduces malware or other harmful code;
- continued service would create an unreasonable legal, security, or operational risk; or
- otherwise permitted by applicable law.
Except where immediate action is reasonably necessary for security, legal compliance, fraud prevention, or protection of Goose Office or others, Goose Office will generally provide notice and an opportunity to cure a material violation.
16. Data After Termination
Following cancellation or termination, Goose Office may retain client information and website-related data for up to 30 days for purposes including account administration, recovery, dispute resolution, security, backups, and transition. After that period, Goose Office may delete or anonymize applicable information from active systems.
Certain information may be retained longer when reasonably necessary for legal compliance; accounting; tax records; fraud prevention; dispute resolution; enforcement of agreements; security; backup systems; or other legitimate business purposes.
Goose Office will not be required to restore or maintain website data indefinitely after termination.
17. Domains
In most cases, clients register and manage their own domain names. When a client manages its own domain, the client is solely responsible for registration; renewal; payment; registrar credentials; DNS configuration; expiration; transfer; and maintaining accurate registration information.
Goose Office is not responsible for a domain expiring when the client controls the domain and fails to renew it.
Goose-Managed Domains. If Goose Office registers or manages a domain on behalf of a client, the domain remains subject to the applicable registrar's policies and registration rules. Following cancellation or termination, the client may request transfer or continued control of the applicable domain by contacting Goose Office within 30 calendar days after cancellation or termination.
Goose Office may assist with a reasonable domain transfer request, subject to payment of any outstanding amounts and applicable registrar requirements. If the client does not request transfer or continuation within the applicable period, Goose Office is not obligated to renew the domain after its current registration period expires. Goose Office does not guarantee that an expired domain will remain available for later registration.
18. Website Edits
Monthly maintenance includes reasonable aesthetic and content edits appropriate to the client's package. Examples may include text changes; image changes; color adjustments; typography changes; spacing adjustments; minor layout changes; basic content updates; and similar minor visual modifications.
Monthly maintenance does not automatically include substantial development work. Examples of potentially billable work include new pages; major redesigns; new website sections; custom applications; booking systems; e-commerce; memberships; databases; custom APIs; advanced forms; third-party integrations; substantial animations; complex interactive features; major structural changes; migrations; significant SEO work; custom functionality; or other work requiring substantial development time.
Goose Office will determine in its reasonable discretion whether a request constitutes an included maintenance edit or additional development work. Where additional charges may apply, Goose Office may provide an estimate or quote before beginning the work.
19. Client-Requested Changes
Clients are encouraged to carefully review and approve the website before launch. A request that substantially changes the approved design, structure, functionality, or scope may constitute additional development work even if the requested change relates to an existing page.
Goose Office is not obligated to perform unlimited redesigns or repeated revisions under a maintenance plan.
20. Hardship Arrangements
If a client experiences a temporary financial hardship, the client may contact Goose Office to request a temporary reduction, deferral, or alternative payment arrangement. Any hardship arrangement is discretionary and must be expressly approved by Goose Office LLC.
A temporary accommodation does not modify the underlying agreement unless Goose Office confirms the modification in writing.
21. Portfolio and Marketing Rights
Unless the client expressly opts out in writing, the client grants Goose Office permission to identify the client as a Goose Office customer and display the completed website, screenshots, logos, or publicly available portions of the website in Goose Office's portfolio; website; social media; marketing materials; case studies; presentations; and promotional materials.
Goose Office will not disclose confidential information solely for portfolio purposes. A client may request that Goose Office stop using the client's website or identifying materials in future marketing materials. Such request will not require Goose Office to remove materials already published where removal would be commercially impractical.
22. Client Responsibilities
The client is responsible for providing accurate information and timely approvals necessary to complete the project. The client is also responsible for:
- maintaining accurate business information;
- reviewing website content;
- maintaining domain ownership when applicable;
- providing legally authorized content;
- maintaining access to client-controlled accounts;
- complying with laws applicable to the client's business; and
- obtaining necessary licenses and permissions.
Goose Office does not provide legal, tax, accounting, regulatory, or professional advice.
23. Third-Party Services
Websites may rely upon third-party services, including hosting providers, domain registrars, payment processors, analytics services, APIs, fonts, plugins, software libraries, and other technologies.
Goose Office is not responsible for outages, pricing changes, policy changes, discontinuation, security incidents, or failures of third-party services outside Goose Office's reasonable control.
24. Acceptable Use
Clients may not use Goose Office services to:
- violate applicable law;
- distribute malware;
- conduct fraud;
- facilitate phishing;
- distribute unlawful content;
- infringe intellectual-property rights;
- attack or interfere with computer systems;
- send abusive or unlawful spam;
- impersonate another person or organization; or
- otherwise misuse Goose Office infrastructure.
Goose Office may suspend or terminate services when reasonably necessary to address such activity.
25. Availability
Goose Office strives to maintain reliable website availability but does not guarantee uninterrupted or error-free operation. Temporary interruptions may occur due to maintenance; upgrades; infrastructure failures; security incidents; third-party outages; DNS problems; domain issues; internet outages; force majeure events; or circumstances outside Goose Office's reasonable control.
26. Limitation of Liability
To the maximum extent permitted by applicable law, Goose Office will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the services.
To the maximum extent permitted by applicable law, Goose Office's aggregate liability arising from a client's use of the services will not exceed the amount actually paid by the client to Goose Office for the affected service during the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
27. Indemnification
To the maximum extent permitted by applicable law, the client agrees to defend, indemnify, and hold harmless Goose Office and its owners, officers, contractors, employees, and service providers from claims, damages, liabilities, losses, and expenses arising from:
- client-provided content;
- the client's unlawful use of the services;
- infringement caused by client-provided materials;
- the client's violation of these Terms; or
- the client's violation of applicable law.
28. Changes to These Terms
Goose Office may update these Terms from time to time. Material changes may be communicated through the website, email, account notices, or other reasonable means. The updated Terms will become effective on the stated effective date.
Continued use of the services following the effective date constitutes acceptance of the updated Terms to the extent permitted by applicable law.
29. Governing Law, Venue, and Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except to the extent federal law controls.
Informal resolution first. Before filing any claim, the parties agree to first attempt to resolve the dispute informally. The party raising the dispute will provide written notice describing the issue and the relief sought, and the parties will have thirty (30) calendar days from that notice to attempt to reach a resolution.
Venue. If the dispute is not resolved informally, the parties agree that the exclusive venue for any dispute arising out of or relating to these Terms or the services shall be the state or federal courts located in Clark County, Nevada. Each party consents to the personal jurisdiction of those courts and waives any objection based on inconvenient forum.
Small claims. Nothing in this section prevents either party from bringing an individual claim in a small claims court of competent jurisdiction, where the claim qualifies.
Injunctive relief. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or the security and integrity of its infrastructure.
30. Electronic Acceptance
The client agrees that electronic acceptance, including checking an acceptance box, clicking an acceptance button, electronically signing an agreement, or otherwise affirmatively accepting these Terms, constitutes the client's agreement to be bound by these Terms.
Nevada's electronic-transactions framework recognizes electronic records and signatures in covered transactions. Goose Office may retain records of electronic acceptance for its business records.
